Terms of use

The short version

noirdeck is free for personal use. Using it for business or commercial work needs a commercial licence — and while noirdeck is in Early Access that licence costs nothing. We will not start charging without at least 60 days’ written notice to everyone holding a licence key, and a term already granted will not be shortened. It runs on your machine, so what it does there is your responsibility. We provide it as is.

Your licence

noirdeck is source-available commercial software, not open source. It isdual licensed: a free Personal Licence, and a Commercial Licence for business use — currently issued at no charge during Early Access. The full Software Licence Agreement ships with the software in itsLICENSE file and is the authoritative statement of what you may do. Where these terms and that agreement differ, that agreement governs.

Under the free licence you may:

• install and run it for your own personal, non-commercial projects;
• use it for study, experiment and hobby work;
• modify it for that use.

Commercial use requires a paid licence. Use is commercial if it is by or for an organisation of any kind, in the course of paid work or employment, to build or support anything sold or commercially exploited, or by more than one person. Revenue is not the test: an employee using noirdeck on their employer's work is commercial use even if that project earns nothing. Commercial licences are per named person, and are issued at no charge during Early Access. Contacthello@noirdeck.dev.

You may not:

• distribute it, republish it, or make copies available to anyone else;
• sell it, sublicense it, or offer it as a service to third parties;
• remove or obscure licence and ownership notices.

Your licence key

A key is issued to you and identifies you. Do not share it. Keys are verified on your own machine and are not a promise of continued service: we may decline to issue or renew a key, and a key that is being misused may not be renewed.

What noirdeck does on your machine

noirdeck runs locally and acts under your direction. It can run other programs and AI assistants you have configured, and it can propose changes to your files, which take effect only when you approve them. You remain responsible for what runs on your machine and for the work it produces, including reviewing changes before you accept them and keeping your own backups.

If you point noirdeck at a hosted AI provider, your content goes to that provider under their terms, not ours.

No warranty

noirdeck is provided as is, without warranty of any kind, express or implied. We do not warrant that it will be uninterrupted, error free, or fit for a particular purpose.

If you are a consumer in New Zealand, nothing in these terms limits rights you have under the Consumer Guarantees Act 1993 that cannot lawfully be excluded. Because noirdeck is acquired for the purposes of a business, the parties agree that Act does not apply to that use.

Liability

To the fullest extent the law allows, we are not liable for any indirect or consequential loss, loss of profit, loss of data, or business interruption arising from your use of noirdeck. Where noirdeck is used under the free personal licence, our total liability is limited to what you have paid us for it, which is nothing. Where it is used under a commercial licence, our total liability is limited to NZ$1.00 for each fully paid-up twelve month licence term, or part of one, in force when the problem arose. Nothing here limits liability that cannot lawfully be limited.

Changes and ending

We may change these terms; the date at the top will change with them, and continued use after that is acceptance. You may stop using noirdeck at any time by uninstalling it. Your licence ends if you breach its terms, subject to the cure period set out in the licence file.

Governing law

These terms are governed by the laws of New Zealand, and the New Zealand courts have non-exclusive jurisdiction.
